Craftsmanship and Confidential Information

"Craftsmanship" refers to all proprietary and confidential methods, formulas, materials, patterns, rug designs, production techniques, and trade secrets developed or owned by Michi Rugs. This includes, but is not limited to, conceptual designs, product samples, technical data, specifications, and other non-public information that may be provided to you during the evaluation of our products.

You agree not to disclose, reproduce, distribute, or use any part of this confidential information for purposes other than reviewing or evaluating Michi Rugs’s product offerings. Any use or disclosure of such information to third parties—including contractors, service providers, or suppliers—requires the prior express written consent of Michi Rugs.

Any unauthorized use or disclosure of the craftsmanship techniques, designs, or materials may result in irreparable harm to Michi Rugs, entitling it to injunctive relief and any other remedies available under applicable law.

Ownership of Materials

All confidential materials, including samples, technical documents, concept renderings, notes, and derivative works, remain the exclusive property of Michi Rugs. Upon request, you agree to promptly return or destroy any such materials, including any copies or summaries derived from them.

Intellectual Property Rights

All rights under U.S. and international copyright law, as well as trademark, trade dress, and design protections, are retained by Michi Rugs with respect to its rug designs, original artworks, material blends, proprietary techniques, and branding. These rights may include, without limitation:

• Copyrights under Title 17 of the United States Code

• Registered and unregistered trade dress and trademarks under the Lanham Act

• Trade secrets protected under the Uniform Trade Secrets Act (UTSA)

• Design patents, where applicable

• Any derivative rights associated with the foregoing

Nothing in your use of this website or your interactions with Michi Rugs shall be interpreted as transferring or licensing any intellectual property rights unless expressly agreed in writing.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, including relevant federal intellectual property statutes and, where applicable, the laws of the State of Ohio and the State of Texas.
